Terms and Conditions for LeadSage

These Terms and Conditions ("Terms") govern your access to and use of the lead enrichment, scoring, context generation, and optional managed outreach services (collectively, the "Service") provided by Hezico ("LeadSage," "we," "us," or "our") via the website www.hezico.com and associated platforms. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Description of Service
LeadSage provides B2B lead generation support services including:
- Lead Enrichment: Enriching client-provided or sourced lead lists with publicly available business contact information, company data, technology insights, and personalization points.
- ICP Fit Scoring: Analyzing enriched data against the client's Ideal Customer Profile (ICP) to generate a relevance score.
- Outreach Context Generation: Programmatically generating contextual snippets intended to aid personalized outreach.
- Managed Outreach (Optional Add-on): Managing multi-channel outreach campaigns (e.g., email, LinkedIn) using the enriched data and context, aiming to schedule Qualified Meetings.
2. Client Responsibilities
- Provide accurate and detailed Ideal Customer Profile (ICP) information.
- If providing lead lists, ensure you have the necessary rights and permissions to share this data with us for processing.
- Use the Service and any provided data in compliance with all applicable laws and regulations (including data privacy and anti-spam laws like CAN-SPAM, GDPR, CCPA).
- Provide timely feedback and calendar access as needed for the Managed Outreach service.
- You are responsible for the final content and sending of any outreach messages if you are not using our Managed Outreach service.
3. Payment Terms
- Lead Enrichment Service: Priced at $12 USD per lead processed. Payment is due upfront based on the agreed batch size or subscription terms.
- Managed Outreach & Meetings Service: Includes the Lead Enrichment service ($12 USD per lead, paid upfront) PLUS a performance fee of $175 USD per "Qualified Meeting" successfully scheduled and held.
- Definition of Qualified Meeting: For the purpose of the $175 performance fee, a "Qualified Meeting" is defined as: A meeting scheduled on the client's calendar via our efforts, which subsequently takes place (i.e., is not a no-show by the prospect or cancelled by the prospect immediately before/during the call without rescheduling), with a contact who substantially meets the primary criteria of the agreed-upon Ideal Customer Profile (ICP) provided by the Client. Meeting qualification does not guarantee budget, immediate need, or timeline (BANT), nor does it guarantee a sale.
- Performance Fee Billing: The $175 performance fee is invoiced after a Qualified Meeting has successfully taken place and been verified. Payment is due within 7 days of invoice date.
- Payment Methods: We accept payments via payonner payment links or stripe.
- Disputes: Any invoice disputes must be raised in writing within 3 days of receipt.
4. Intellectual Property
- Client Data: You retain ownership of your original lead lists and ICP definitions.
- Enriched Data & Context: Upon full payment, you gain a license to use the specific enriched data points and outreach context generated for you by the Service for your internal business development purposes, subject to compliance with applicable laws.
- LeadSage IP: We retain all rights, title, and interest in and to our Service, including our underlying technology, processes, methodologies, scoring algorithms, and any software or documentation.
5. Confidentiality
Both parties agree to keep confidential all non-public information received from the other party that is marked as confidential or reasonably should be understood to be confidential. This includes ICP details, lead lists, pricing (other than publicly listed), and business processes. This obligation does not apply to information that is publicly known, independently developed, or rightfully received from a third party without confidentiality restrictions.
6. Data Privacy
Our collection and use of personal information in connection with the Service are described in our Privacy Policy, available at leadsage.hezico.com/privacy, which is incorporated by reference into these Terms. You agree to comply with all applicable data protection laws regarding any data provided to us or received from us.
7. Term and Termination
- Term: These Terms begin when you first use the Service and continue as long as you use the Service or until terminated. Service engagements may have specific durations outlined in a separate agreement or order form.
- Termination: Either party may terminate a specific service engagement with 7 days written notice. We may suspend or terminate your access to the Service immediately if you breach these Terms, fail to make timely payments, or engage in unlawful conduct.
- Effect of Termination: Upon termination, your right to use the Service ceases. You remain obligated to pay for all services rendered up to the termination date, including any outstanding performance fees for Qualified Meetings held. Sections on Confidentiality, Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law shall survive termination.
8. Disclaimers
- THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- WHILE WE STRIVE FOR HIGH ACCURACY IN DATA ENRICHMENT (E.G., 95%+ EMAIL VERIFICATION), WE DO NOT GUARANTEE 100% ACCURACY OF ALL DATA POINTS. PUBLIC DATA CAN BE OUTDATED OR INCORRECT.
- WE MAKE NO GUARANTEES REGARDING THE NUMBER OF LEADS THAT WILL MEET YOUR ICP CRITERIA, THE CONVERSION RATES OF OUTREACH CAMPAIGNS, OR THE OUTCOME OF ANY SCHEDULED MEETINGS BEYOND THE DEFINITION OF A "QUALIFIED MEETING" PROVIDED HEREIN. RESULTS VARY BASED ON MANY FACTORS, INCLUDING YOUR ICP, OFFER, MARKET CONDITIONS, AND LIST QUALITY.
- THE OUTREACH CONTEXT GENERATED IS INTENDED AS AN AID AND SHOULD BE REVIEWED FOR APPROPRIATENESS BEFORE USE.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LEADSAGE OR Hezico BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (a) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (b) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (c) ANY CONTENT OBTAINED FROM THE SERVICE; OR (d) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
IN NO EVENT SHALL THE AGGREGATE LIABILITY OF LEADSAGE OR Hezico EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100.00) OR THE AMOUNT YOU PAID US, IF ANY, IN THE PAST SIX MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM.
10. Indemnification
You agree to defend, indemnify, and hold harmless LeadSage, Hezico, and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (a) your access to or use of the Service, (b) your violation of these Terms, or (c) your violation of any applicable laws or regulations, including data privacy laws, related to your use of the Service or data provided to/received from us.
11. Governing Law & Dispute Resolution
These Terms shall be governed by the laws of the State of London / UK, without regard to its conflict of law provisions. Any dispute arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in London/UK.
12. Modifications to Terms
We reserve the right to modify these Terms at any time. If we make changes, we will post the revised Terms on our website and update the "Effective Date." Your continued use of the Service after the changes become effective constitutes your acceptance of the revised Terms.
